Terra Clean Closes the Acquisition to Earn 100% Interest in the Prospector & Freedom Uranium Mines in Marysvale, Utah, United States

Vancouver B.C., February 18, 2026 – TERRA CLEAN ENERGY CORP. (“Terra” or the “Company”) (CSE: TCEC, OTCQB: TCEFF, FSE: C9O0), is pleased to announce that, further to its press release dated January 26, 2026, the Company has entered into a definitive agreement to acquire up to a 100% interest in the Prospector & Freedom Uranium Mines located in Marysvale, Utah. As part of the initial earn-in, the Company will issue a total of 750,000 common shares to the Vendors (complete details of the earn-in requirements can be found in the January 26, 2026 press release).

All securities issued in connection with these agreements would be subject to a four-month plus one day hold period from the date of issuance in accordance with applicable securities laws.
